RadNet, Inc. and iCAD, Inc. have entered into a definitive merger agreement under which RadNet will acquire iCAD in an all stock transaction. iCAD stockholders will receive 0.0677 shares of RadNet common stock for each share of iCAD common stock they hold at the closing of the merger. The transaction is subject to approval by iCAD stockholders and other customary closing conditions, and is expected to close in Q2 or Q3 2025. The iCad special shareholder meeting to vote on the transaction will be held on 07/14.7/14 The approval of the Merger Agreement Proposal by the Company's stockholders satisfies the stockholder vote condition under the Merger Agreement.
