Huntington Bancshares (Huntington) has entered into a definitive agreement to acquire Cadence Bank (Cadence) in an all-stock transaction. Huntington will issue 2.475 shares of common stock for each outstanding share of Cadence common stock. The transaction is expected to close in Q12026, subject to regulatory approvals, approval by Huntington and Cadence shareholders and other customary closing conditions. On 12/22, it was announced that the Office of the Comptroller of the Currency has approved the transaction. All required regulatory approvals have now been received. The transaction is now expected to close on 02/01, subject to the receipt of shareholder approvals and the satisfaction or waiver of the remaining customary closing conditions. Shareholders of both companies approved the transaction on 01/06, with closing expected on 02/01.
